SAN DIEGO—Kratos Defense & Security Solutions announced Dec. 16 that it has completed its acquisition of Henry Bros. Electronics. Under the terms of the transaction, HBE stockholders will receive $8.20 in cash for each share of HBE common stock they own.

FAIR LAWN, N.J.—The price that Kratos Defense and Security Solutions will pay for Henry Bros. Electronics went up this week, from $7 per share to $8.20 per share, as the result of a rival offer from Diebold.
Henry Bros. and Kratos on Oct. 6 announced a $45 million merger agreement.

NAPERVILLE, Ill.—Stanley CSS closed its 10th and 11th Sonitrol franchise acquisitions Nov. 9, with the purchase of franchises in Tulsa and Oklahoma City, Okla.
“This one is exciting for us because it’s in a market were we really have an opportunity to increase market share and density,” Tony Byerly, president of Stanley CSS told Security Systems News.

Early termination fees are a standard in the security industry but now The ADT Corp. is facing a class-action lawsuit over them. The attorney representing ADT clients from California, Illinois and elsewhere in the lawsuit says the fees violate federal and state consumer protection laws.
