Datakey moves closer to completing deal with SentryNet

November 4, 2004 MINNEAPOLIS - Datakey has filed a Form 15 with the Securities and Exchange Commission to remove the company from the OTC Bulletin Board. The request to terminate registration of the company’s common stock follows SafeNet’s offer to buy 75 percent of Datakey’s stock. The transaction is expected to be completed in December, subject to approval by Datakey’s shareholders and other conditions. Once the merger is complete, Datakey will become a wholly-owned subsidiary of SafeNet. By filing a Form 15, Datakey is no longer obligated to file certain reports with the SEC, such as Forms 10-KSB, 10-QSB and 8-K. Datakey provides token-based solutions for enterprise wide access and identity management systems. SafeNet is an information security company.
